Terms of Service

Guidelines and legal terms governing software engineering contracts, deliverables, and service engagements at Neptune Softwares.

1. Acceptance of Terms

By accessing our website, requesting scope estimations, or entering into a Statement of Work (SOW) with Neptune Softwares, you agree to be bound by these Terms of Service. These terms apply to all custom web application development, mobile application engineering, cloud infrastructure setup, and technical consulting contracts.

2. Scope of Services & Sprints

All project scopes, deliverables, timelines, and milestones are governed by agreed Statements of Work (SOW) signed by both parties. Neptune Softwares executes engineering work using agile sprint cycles with weekly demo reviews:

  • Discovery & Architecture: Technical roadmap alignment, DB schema design, and Figma prototype approval before sprint commencement.
  • Sprint Deliverables: Functional code deployments to client staging environments for weekly validation.
  • Scope Changes: Additional feature requests outside the original SOW will be scoped under a Change Order agreement.

3. Intellectual Property & Code Transfer

Upon full payment of milestone invoices as agreed in the contract, 100% full ownership of custom application source code, repository access, design assets, and database schemas transfers exclusively to the client. Neptune Softwares retains rights to open-source libraries and general software utility patterns used within the application.

4. Payment Terms & Invoicing

Fixed-price projects are invoiced according to agreed milestone achievements (e.g., Deposit, MVP Demo, Final Production Launch). Dedicated Team retainers are invoiced bi-weekly or monthly in advance. Payments are due within 14 calendar days of invoice date unless specified otherwise in the contract.

5. SLA & Production Warranty

All shipped projects include a standard 30-day post-launch warranty during which Neptune Softwares will fix any reproducible code bugs or performance bottlenecks free of charge. Extended SLA coverage, 24/7 server monitoring, and continuous maintenance are available under dedicated support agreements.

6. Limitation of Liability

In no event shall Neptune Softwares be liable for indirect, consequential, or punitive damages arising from project delays caused by third-party API outages, client-side server downtime, or external cloud infrastructure failures beyond our direct operational control.
